Lexim AI, Inc. Terms and Conditions/Subscription Agreement

Welcome to RegIntel™, a service provided by Lexim AI, Inc. (“Lexim AI,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of the RegIntel platform and all associated websites, services, and software (collectively, the “Service”).

Please read these Terms carefully, as they form a legally binding agreement between you and Lexim AI. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you disagree, you may not access or use the Service. Your continued use of the Service following any updates to these Terms constitutes acceptance of the revised Terms.

1. The Service

The RegIntel Service is a generative, AI-powered regulatory intelligence platform designed to help professionals analyze, summarize, and derive insights from regulatory documents and public data. This includes, but is not limited to, laws, administrative codes, filings, and publications.

The Service is intended as a research and analysis tool. Any content or insights generated are for informational purposes only and should not be interpreted as professional, legal, or regulatory advice. You are solely responsible for verifying the accuracy and applicability of any information generated through the Service.

2. Eligibility

You must be at least eighteen (18) years old to use the Service. By accepting these Terms, you represent and warrant that you are of legal age to form a binding contract with Lexim AI and that you have the authority to enter into these Terms on behalf of any entity you represent.

3. Your Account

Account Creation: To use certain features, you must create an account and provide accurate, current, and complete information. You agree to keep this information up to date and accurate. Failure to do so may result in suspension or termination of your account.

Confidentiality: You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Lexim AI immediately of any unauthorized use or suspected security breach.

Authorized Use: You may not share your account or subscription with others. Lexim AI is not responsible for any loss or damage resulting from unauthorized access to your account due to your failure to maintain confidentiality.

4. User Responsibilities and Prohibited Conduct

You agree to use the Service only for lawful purposes and in compliance with all applicable regulations. You may not:

  • Use the Service to generate or distribute deceptive, fraudulent, or misleading content, including fabricated documents or false regulatory information.
     

  • Attempt to reverse engineer, decompile, or otherwise derive the Service’s source code, algorithms, or models.
     

  • Interfere with, disrupt, or compromise the security or performance of the Service.
     

  • Use automated systems (e.g., bots or scripts) to access the Service without authorization.
     

  • Use the Service in violation of any local, state, national, or international law.
     

  • Infringe on the intellectual property or proprietary rights of Lexim AI or any third party.
     

  • Circumvent the Service's access controls or security features.
     

Violation of these restrictions may result in immediate termination of your account and potential legal action.

5. Intellectual Property Rights

Service Ownership: The Service, including all software, designs, algorithms, user interfaces, and training data, is owned by Lexim AI or its licensors. Except as expressly provided in these Terms, no rights or licenses are granted to you.

Your Content: You retain ownership of all data and materials you submit (“Your Content”). By submitting Your Content, you grant Lexim AI a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, and modify Your Content solely to operate, maintain, and improve the Service.

Lexim AI will not sell or share Your Content with third parties and will handle it in accordance with our Privacy Policy.

6. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Lexim AI does not warrant that the Service will be uninterrupted or error-free, or that the results produced by the AI will be accurate or reliable. The information provided by the Service is for informational use only and not a substitute for professional advice.

7. Limitation of Liability

To the maximum extent permitted by law, Lexim AI shall not be liable for any indirect, incidental, consequential, or punitive damages, or any loss of profits or data, arising out of or in connection with your use of the Service.

Your sole and exclusive remedy for dissatisfaction with the Service is to discontinue its use.

8. Termination

Lexim AI may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including violation of these Terms, non-payment, or unlawful use. Upon termination, your right to access the Service immediately ceases. Lexim AI will not be liable for any loss or inconvenience arising from its use.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under or relating to these Terms shall be resolved exclusively in the state or federal courts located in California.
